You Will Be Responsible For:

  • Corporate Operations: Maintaining a working knowledge of the corporate operations of each of the Primary Facilities.  Compliance may be demonstrated by discussions which reflect a review of and familiarity with provisions of incorporating documents and amendments, material contracts and arrangements to which a Primary Facility is a party; attendance at board meetings as requested; maintenance of corporate minute books which contain (at a minimum) pertinent corporate information identified in Departmental policies, etc.
  • Legislation: Responsible for staying abreast of applicable federal, state and local laws which affect Primary Facilities, operations and taking appropriate (e.g., preventive, corrective, advisory) action. Compliance may be demonstrated by ongoing review of legislative enactments, issuance of memoranda to personnel, incorporation of recent legislative enactments in legal research and memoranda, and participation in the development of information for the Department’s intranet site.
  • Guidance: Responsible for advancing the interests of the Primary Facilities while providing an understanding of legal parameters and motivating compliance with legal requirements.  Compliance is demonstrated by the content of written memoranda and other documentation [e.g., Summary Statement (Exhibit A) if written memoranda do not clearly reflect research undertaken in arriving at legal opinion/recommendations] contained in Primary Facilities’ files maintained by the Department.  All guidance offered/opinions rendered based on a factual situation/transaction that implicates the tax exempt status of a Primary Facility or involves the applicability of the provisions of the Anti-Kickback Statute (42 U.S.C. Section 1320a-7b(b)), or the Stark Laws (42 U.S.C. Section 1395nn), including applicable regulations, must be offered/ rendered in writing (i.e., oral opinion must be followed up by a written opinion).  Guidance offered must reference (where applicable) relevant provisions of corporate compliance plan.
  • Communication with Primary Attorney and/or Senior Staff      Attorney for Labor: Responsible for maintaining communication with the corporate attorney who is designated the Primary Attorney on all matters handled by the Senior Staff Attorney which affect facilities for which the Senior Staff Attorney is not designated the Primary Attorney.  This includes providing Primary Attorney with all written communication (e.g. memoranda, electronic mail, etc.) issued by Senior Staff Attorney, oral summaries of events as they develop, invitations to participate in conference calls, meetings, etc. In those instances where a primary focus of the representation undertaken is viewed as falling within the responsibility of the Senior Staff Attorney for Labor, the Senior Staff Attorney will be responsible for maintaining communication with the Senior Staff Attorney for Labor regarding the legal representation.  This includes providing the Senior Staff Attorney for Labor with all written communication (e.g., memoranda, electronic mail, etc.) issued by the Senior Staff Attorney, oral summaries of events as they develop, invitations to participate in conference calls, meetings, etc.
  • Department Communication: Responsible for adhering to Department File System Policy(ies). Responsible for adhering to Department Directory Policy(ies). Responsible for adhering to Department Service Log Policy. Responsible for adhering to Department Monthly Report Policy. Responsible for adhering to Department Establishment of New Business Entity and/or Sale of Business Entity Policy. Responsible for adhering to Department Registration of Fictitious Name Policy.
  • Resource for Staff Attorneys: Available for consults with Staff Attorneys as they may reasonably request from time to time.  This may include fielding questions from Staff Attorneys; participation in conferences in which a Staff Attorney is a participant; review of draft memoranda and/or other documents prepared by a Staff Attorney.
  • Department Functions: Attendance and active participation in staff meetings and such other committees and functions as may be planned from time to time by the Department.
  • Department Administration: Participate in the overall development of the Department, internally and externally.  This includes (i) identifying and/or participating in initiatives for the Department, communicating the initiatives and monitoring the results of the initiatives; (ii) proposing Departmental policies; (iii) representing the Department in corporate meetings which affect the operations of the Department, etc.

What You Will Need:
  • B. A or B. S. Degree from an accredited university or college
  • J. D. from an accredited law school
  • 5-10 years of legal experience in health law, including experience providing advice regarding value-based reimbursement arrangements
  • Florida Bar or eligible for Florida Authorized House Counsel        
Job Summary:

The attorney will be a member of the AdventHealth Legal Services Department, headquartered in Altamonte Springs, FL, and part of an eight-attorney team in the Orlando area.  The duties of this position primarily include advising AdventHealth’ s Population Health Support Organization regarding various arrangements in which AdventHealth accepts financial risk for patient care.  It is anticipated that approximately half of the applicant’s time will be spent in support of such value-based arrangements, including commercial and Medicare bundled payment arrangements, and other arrangements in which the organization is compensated on some basis other than fee for service.  Other duties will include  (1) legal advice on a broad scope of health care topics related to the operations of hospitals and other system services; (2)  reviewing and drafting physician, vendor, research and service agreements; (3) guidance on legal structures and operations of regional health care systems such as home health, affiliation agreements and ambulatory projects; (4) Medical Staff support, and (5) advice on such other patient care and health law issues as may arise within the Division.
